Key Points
- HDFC Bank board submits two unnamed candidates to RBI for CEO succession
- Sashidhar Jagdishan set to step down in October after second term ends
- Board creates additional whole-time director position taking total to four
HDFC Bank’s board has submitted the names of two candidates to the Reserve Bank of India for appointment as the bank’s next managing director and chief executive officer, formally initiating the succession process for Sashidhar Jagdishan, who is due to retire later this year.
The bank disclosed the submission in an exchange notification on Saturday but did not reveal the names of the candidates. Jagdishan, who has led India’s largest private sector lender by market capitalisation since 2020, is set to step down at the end of his second term in October 2026.
The board will submit the names along with the proposed remuneration for the candidates to RBI for approval for a three-year term, the notification stated. Under RBI guidelines, private sector banks must submit succession plans to the regulator well in advance of a leadership transition, and the central bank typically takes several weeks to evaluate candidates before granting approval.
Kaizad Bharucha, the bank’s deputy managing director, is widely considered the frontrunner among internal candidates to succeed Jagdishan, according to industry speculation. Bharucha has been with HDFC Bank for over two decades and currently oversees the wholesale banking, branch banking and retail assets verticals.
Other names that have circulated in banking circles as potential contenders include Anup Bagchi, chief executive officer of ICICI Prudential Life Insurance; Paresh Sukthankar, former deputy managing director at HDFC Bank; Vibha Padalkar, chief executive officer of HDFC Life Insurance; Rajiv Sabharwal, chief executive officer of Tata Capital; and Amitabh Chaudhry, chief executive officer of Axis Bank. The bank has not confirmed whether any of these individuals are among the two candidates submitted to RBI.
Board appointments
Alongside the CEO succession filing, the board approved several other leadership changes. V Srinivasa Rangan will be reappointed as whole-time director, designated as executive director, for a one-year period from 23 November 2026 to 22 November 2027. Rangan currently oversees human resources, corporate legal, group oversight and secretarial functions, along with investment banking, information security, ethics, fraud and vigilance.
The board also approved the appointment of Jimmy Tata as whole-time director, designated as executive director, for a three-year term, subject to RBI approval. Tata’s appointment strengthens the bank’s senior leadership bench as it prepares for the leadership transition.
In a structural change, the board approved the creation of one additional whole-time director position, taking the total number of whole-time directors on the board to four, apart from the MD and CEO. The bank said the additional position is intended to ensure sharper synergy and oversight, including over the subsidiaries of the bank, as well as to create a larger pipeline for succession planning.

The new position will be filled in consultation with the incoming MD and CEO after the successor takes charge, the bank stated. This arrangement gives the new chief executive a say in shaping the leadership team that will execute the bank’s strategy during their tenure.
HDFC Bank completed its merger with its parent Housing Development Finance Corporation in July 2023, creating India’s largest financial services entity by assets. The merged entity has navigated regulatory scrutiny over credit growth and deposit mobilisation over the past year, making the choice of Jagdishan’s successor a closely watched development in the Indian banking sector.
RBI’s approval process for bank CEO appointments typically involves evaluating the candidate’s track record, qualifications and the bank’s governance standards. The regulator has in the past rejected or delayed CEO appointments at private sector banks when it had concerns about governance or candidate suitability.
